These Terms of Service (“Terms”) govern your access to and use of the ModularOne website (the “Site”) and any products and services provided by ModularOne (collectively, the “Services”). By accessing our Site or engaging our Services, you agree to these Terms. If you do not agree, please do not use the Site or Services.
1) About ModularOne
“ModularOne”, “we”, “us”, or “our” refers to ModularOne (UEN: 53514114M), operating in Singapore, with its registered address at 7 Gambas Crescent, Ark@Gambas, #05-06, Singapore (757087).
2) Scope of Services
ModularOne provides event and exhibition-related solutions, which may include (where applicable):
- Modular exhibition and event display systems (e.g., aluminium frame systems, fabric graphics, SEG lightboxes, counters and related components)
- Design consultation and artwork preparation support
- Pre-build visualisation or 3D proposal services
- Fabrication, rental, sales, delivery, installation, dismantling, and post-event logistics
- Optional add-ons such as coordination, storage, and related event support services
The exact scope, deliverables, timelines, and pricing will be set out in a quotation, proposal, statement of work, or invoice accepted by you (“Order Confirmation”).
3) Website Use & Content
You may use this Site for lawful purposes only. You agree not to:
- misuse the Site or attempt to gain unauthorised access to systems or data
- upload viruses or malicious code
- reproduce, republish, or commercially exploit Site content without permission
We may update, suspend, or remove any part of the Site at any time without notice.
4) Quotations, Orders & Acceptance
- Quotations are valid for the period stated in the quotation (or, if not stated, 30 days from issue date).
- An order is confirmed only when you:
- sign/accept the quotation or proposal in writing (including email/WhatsApp confirmation), and
- pay any required deposit (if applicable).
- Any changes to the scope after confirmation may result in revised pricing and timelines.
5) Client Responsibilities
To deliver your project smoothly, you agree to:
- provide accurate event details (venue, dates, hall/booth specs, organiser manual, loading/unloading rules, deadlines)
- provide correct brand assets/artwork files in the required format by agreed deadlines
- obtain necessary approvals from organisers/venues (including rigging/electrical/height restrictions where applicable)
- ensure a safe and accessible work area during installation/dismantling
- appoint a point-of-contact empowered to make timely decisions
Delays or extra costs caused by incomplete information, late approvals, late artwork, or site restrictions may be chargeable.
6) Artwork, Proofing & Print Output
- Where we assist with artwork preparation, you remain responsible for final approval of all visuals, sizes, spelling, and layout before production.
- Colours may vary due to screen calibration, lighting, materials, and print processes. Minor variations are not considered defects.
- If you supply artwork, you confirm you have rights to use it and it meets our technical specifications.
7) Production, Delivery, Installation & Venue Rules
- Production schedules depend on timely approvals and material availability.
- Delivery and on-site works are subject to venue access windows, organiser regulations, and force majeure events (see Clause 17).
- Additional charges may apply for special venue requirements (e.g., after-hours access, restricted loading, on-site permits, safety requirements, manpower constraints).
8) Storage (If Applicable)
Where storage is provided:
- stored items are held according to agreed storage terms, fees, and retrieval timelines
- you must label and confirm stored inventory details
- retrieval requests require reasonable notice (as agreed in writing)
- unclaimed items beyond the agreed period may incur additional fees and may be disposed of in accordance with applicable laws after reasonable notice
9) Pricing, Deposits & Payment Terms
- Prices are quoted in SGD unless stated otherwise and may be subject to GST where applicable.
- Payment terms will be stated in the quotation/invoice.
- Deposits (if required) are generally non-refundable once production, procurement, or scheduling has commenced (unless otherwise agreed in writing).
- Late payments may result in suspension of work, delayed delivery, or additional charges.
10) Cancellations, Postponements & Changes
Because event work involves scheduling, material booking, and production lead time:
- Cancellations may incur charges for work already completed, committed costs, materials ordered, and manpower reservations.
- Postponements may incur storage, rescheduling, or re-delivery charges.
- Changes requested after approval/production may require reprint, refabrication, or additional labour costs.
Specific cancellation fees (if any) will be stated in your Order Confirmation; otherwise, charges will be calculated based on actual costs incurred plus reasonable administrative and labour costs.
11) Intellectual Property
- All designs, concepts, renders, drawings, templates, and technical methods created by ModularOne remain our intellectual property unless explicitly transferred in writing.
- You may use final delivered outputs for your event/business use.
- You may not resell, replicate, or distribute ModularOne’s design concepts or system designs without written consent.
12) Portfolio & Marketing Use
Unless you object in writing before project completion, you grant ModularOne permission to photograph completed installations and use images/videos for our portfolio, website, and marketing. We will not disclose confidential information (e.g., unreleased product details) if you mark it as confidential in writing.
13) Warranty & Defects
If we supply products (sale or fabricated outputs), warranty terms (if any) will be stated in the quotation or Order Confirmation.
You must inspect deliverables promptly and notify us of material defects within 48 hours of delivery/installation (or before event opening, whichever is earlier). Failure to notify within this period may be treated as acceptance.
14) Limitation of Liability
To the maximum extent permitted by law:
- ModularOne is not liable for indirect, incidental, special, or consequential losses (including loss of profit, revenue, opportunity, or goodwill).
- Our total liability for any claim relating to the Services is limited to the amount paid by you for the specific Services giving rise to the claim.
- We are not responsible for delays or failures caused by venue restrictions, organiser decisions, third-party contractors, courier delays, or circumstances beyond our control.
15) Indemnity
You agree to indemnify and hold ModularOne harmless from claims, damages, liabilities, and expenses arising from:
- your breach of these Terms
- your supplied artwork/content infringing third-party rights
- unsafe instructions or site conditions caused by you or your contractors
16) Force Majeure
We are not liable for failure or delay due to events beyond reasonable control, including (but not limited to) venue closures, organiser cancellations, strikes, supply chain disruptions, extreme weather, fire, flood, pandemics, government actions, or power outages.
17) Privacy
Your use of the Site and Services is also governed by our Privacy Policy, which explains how we collect, use, and protect personal data.
18) Third-Party Links
Our Site may include links to third-party websites. We are not responsible for third-party content, services, or privacy practices.
19) Governing Law & Dispute Resolution
These Terms are governed by the laws of Singapore. Parties agree to attempt good-faith resolution first. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the Singapore courts, unless otherwise required by applicable law.
20) Updates to These Terms
We may update these Terms from time to time. Changes take effect once published on this page, with the “Last updated” date revised accordingly.
